1 · The Agreement & Parties
By browsing webpies.com, ordering digital software products, or commissioning bespoke studio design services, you enter into a legally binding agreement with Vance & Okafor Lda. ("WebPies", "we", "us", "our"). If you do not agree to these Terms, please do not use our services or place orders.
2 · Key Terms & Definitions
- "Digital Products": Downloadable WordPress plugins, themes, blocks, templates, and digital toolkits.
- "Software Licenses": Cryptographic keys (e.g.
WEBPIES-XXXX-...) authorizing automatic updates, support, and domain activations. - "Studio Services": Bespoke UI/UX design, custom engineering, code reviews, and performance optimization passes.
- "Customer" / "You": The individual or corporate entity purchasing goods or commissioning work.
3 · Orders, Pricing & Taxation
Prices are displayed in US Dollars (USD) or your preferred currency. Prices exclude VAT, sales tax, or custom duties where applicable. Taxes are calculated and presented transparently prior to payment confirmation. A contract is formalized when we transmit an email order confirmation and generate your license keys.
4 · Payment Methods & Invoicing
Payment is collected at checkout via Stripe, Paddle, or SSLCommerz. For bespoke studio service contracts exceeding $1,000, engagements typically require a 50% initial milestone deposit, with the remainder invoiced upon project sign-off as defined in your written statement of work.
5 · Delivery & Digital Fulfillment
Digital products and software license keys are delivered immediately upon confirmed payment via your customer portal account and order confirmation email. Service deliverables proceed in accordance with the timeline agreed in your project proposal.
6 · Studio Service Engagements & Milestones
For bespoke client projects, deliverables, timelines, and revision rounds are set out in a written engagement letter. Additional features outside the initial scope are quoted separately. We reserve the right to pause projects if client feedback or assets are delayed by more than 10 working days.
7 · Software Licensing & Intellectual Property
Purchased digital products grant a non-exclusive, revocable license strictly limited to the activation tier purchased:
- Starter Plan: 1 active production domain lock.
- Professional / Growth: Up to 5 active production domain locks.
- Agency / Unlimited: Unlimited client site deployments.
You may not resell, sub-license, or redistribute our code or design assets on public marketplaces or mirror repositories without express written authorization.
8 · Acceptable Use & Conduct
You agree not to use WebPies products to: (a) distribute malware, phishing payloads, or hostile code; (b) probe or circumvent software licensing verification endpoints; (c) execute high-frequency automated scraping; or (d) violate applicable copyright laws.
9 · Warranty & Product Conformity
We warrant that our software and digital products will substantially conform to documented specifications for 30 days following purchase. In addition, all digital products are covered by our 30-day money-back guarantee as outlined in our Refund Policy.
10 · Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to your use of our products and services is capped at the total amount paid by you in the 12 months preceding the event. In no event shall we be liable for indirect, punitive, or consequential damages.
11 · Termination & License Revocation
Either party may terminate a studio service contract with 14 days' written notice. We reserve the right to suspend account access and revoke active software licenses immediately if you materially breach these Terms or initiate unauthorized payment chargebacks.
12 · Governing Law & Jurisdiction
These Terms and any dispute arising from them are governed exclusively by the laws of Portugal. The courts of Lisbon have sole jurisdiction, without depriving consumers of statutory protections granted by their country of habitual residence.
13 · Amendments & Updates
We reserve the right to revise these Terms as necessary. The latest version will always be published on this page. Material revisions affecting active subscriptions will be communicated with at least 14 days' advance email notice.
